• "Content" refers to all data, text, software, graphics, and other materials provided through our Services.
• "User Content" refers to any content you submit, upload, or provide to our Services.
• "Enterprise Customer" refers to organizations using our Services under a separate enterprise agreement.

VDF AI provides artificial intelligence solutions designed to enhance organizational agility, including:

• VDF Agile: Real-time AI agents for Agile teams and development processes
• VDF Chat: Secure, on-premise RAG-based conversational AI
• VDF Code: AI-powered coding assistant for development teams
• Additional Services: Model evaluation, fine-tuning, and data suite solutions

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

Account Creation

To access certain features, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account

Account Types

• Free Accounts: Limited access with usage restrictions

Subscription Services

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for all applicable fees.

Payment Processing

• Subscription fees are non-refundable except as required by law

Enterprise Billing

AI-Generated Output

Subject to these Terms and applicable law, you may use AI-generated output from our Services. However, output may not be unique, and similar content may be generated for other users.

• Access controls and authentication mechanisms

While we strive to maintain high availability, we do not guarantee uninterrupted access to our Services. We may experience downtime due to:

• Scheduled maintenance and updates
• Technical issues or system failures
• Third-party service dependencies
• Force majeure events beyond our control

We will make reasonable efforts to provide advance notice of scheduled maintenance.

To the maximum extent permitted by law:

• VDF AI shall not be liable for any indirect, incidental, special, or consequential damages

You agree to indemnify, defend, and hold harmless VDF AI from any claims, damages, or expenses arising from:

• Your use of our Services in violation of these Terms
• Your User Content or any content you submit
• Your violation of any third-party rights
• Any breach of your representations or warranties

Termination by You

You may terminate your account at any time by contacting us or using account deletion features in our Services.

Termination by Us

We may suspend or terminate your access to our Services at any time for:

• Violation of these Terms or our policies
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Extended periods of inactivity

Effect of Termination

Upon termination, your right to use our Services will cease immediately, and we may delete your account and data in accordance with our data retention policies.

These Terms are governed by the laws of Sweden, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be resolved through:

• Good faith negotiations between the parties
• Binding arbitration in Stockholm, Sweden, if negotiations fail
